Software-Only SaaS Platform

NexaCOD provides subscription-based business software only. NexaCOD does not process payments, collect cash-on-delivery funds, hold customer money, transfer funds, provide banking services, or act as a money transmitter.

1. Company Information

These Terms of Service govern your access to and use of NexaCOD, a software-as-a-service platform operated by NEXACOD LLC, a limited liability company registered in Wyoming, United States.

Throughout these Terms, “NexaCOD”, “we”, “us”, and “our” refer to NEXACOD LLC. “User”, “customer”, “merchant”, “you”, and “your” refer to any person or business using the NexaCOD platform.

By creating an account, accessing the platform, or using our services, you agree to these Terms of Service.

2. Description of Services

NexaCOD is a B2B SaaS platform that helps ecommerce merchants manage operational workflows, including order tracking, order confirmation, inventory management, courier status tracking, reporting, and business analytics.

NexaCOD does not sell physical products, deliver customer orders, provide courier services, or operate ecommerce stores on behalf of merchants.

NexaCOD is not responsible for the sale, delivery, quality, refund, exchange, or legality of products sold by merchants using the platform.

3. Prohibited Activities

You may not use NexaCOD for any illegal, fraudulent, deceptive, harmful, or high-risk activity, including but not limited to:

  • Selling counterfeit, stolen, illegal, or restricted goods.
  • Selling weapons, drugs, controlled substances, or regulated products without proper authorization.
  • Operating scams, fake stores, misleading offers, pyramid schemes, or fraudulent ecommerce activity.
  • Using the platform to process, hide, move, launder, or disguise funds.
  • Violating consumer protection, advertising, privacy, tax, customs, or trade laws.
  • Using NexaCOD in connection with sanctioned persons, countries, entities, or prohibited jurisdictions.

4. No Payment Processing or Custody of Funds

NexaCOD does not process payments between merchants and their customers. NexaCOD does not receive, hold, transfer, settle, or control cash-on-delivery funds or customer payments.

Any cash-on-delivery collection, customer payment, courier remittance, refund, or settlement is handled directly between the merchant, customer, courier, payment provider, or other third party. NexaCOD only provides software tools for operational tracking and reporting.

5. Merchant Responsibility

Merchants are solely responsible for their products, customers, orders, pricing, delivery arrangements, refunds, taxes, legal compliance, and business operations.

Merchants must ensure that their use of NexaCOD complies with all applicable laws, regulations, marketplace rules, courier policies, consumer protection rules, and tax obligations.

6. Account Registration

You agree to provide accurate, complete, and current account information. We may suspend or terminate accounts that provide false information, engage in prohibited activity, or create unacceptable legal, compliance, or operational risk.

7. Subscriptions and Billing

NexaCOD charges subscription fees for access to its software. Subscription payments may be processed by third-party payment providers such as Stripe, PayPal, or other approved providers.

NexaCOD does not store full payment card details. Payment processing is handled by third-party payment providers subject to their own terms and policies.

8. Refunds

Subscription fees are generally non-refundable unless required by law or stated otherwise in a separate written agreement. Any approved refund applies only to NexaCOD software subscription fees and does not relate to merchant customer payments, courier collections, or cash-on-delivery funds.

9. Third-Party Services

NexaCOD may integrate with third-party services, including couriers, ecommerce platforms, payment providers, analytics tools, and communication services. We are not responsible for third-party services, outages, delays, data errors, fees, or policies.

10. Limitation of Liability

To the maximum extent permitted by law, NexaCOD is not liable for lost profits, lost revenue, lost data, failed deliveries, courier disputes, customer claims, merchant refunds, payment disputes, business interruption, or indirect, incidental, special, consequential, or punitive damages.

11. Suspension and Termination

We may suspend or terminate your access to NexaCOD if we believe you violated these Terms, used the platform for prohibited activity, created legal or compliance risk, failed to pay subscription fees, or misused the service.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be handled in the appropriate courts or forums located in Wyoming, United States, unless otherwise required by applicable law.

NexaCOD is a software provider only. We do not provide banking, payment processing, money transmission, escrow, courier, fulfillment, or financial services.
